Welcome to the TransactX Business Platform (hereinafter referred to as the "Platform").  These Terms of Service govern your (hereinafter referred to as "Seller") use of the TransactX Platform to sell goods or services. Please read these Terms carefully. If you do not agree to any part of these Terms, do not use this Platform.

I. Account Registration and Maintenance:

1. You must provide accurate, complete, and current registration information. You are responsible for maintaining and updating your account information to ensure its accuracy and validity.
2. You are responsible for maintaining the security of your account password and are liable for all activities conducted using your account.
3. You may not register multiple seller accounts or impersonate another individual when registering an account.
4. TransactX reserves the right to suspend or terminate any account violating these Terms or Platform rules at any time without notice.

II. Listing of Goods or Services:

1. All goods or services you list on the Platform must be genuine, accurate, legal, and compliant with all applicable laws and regulations.
2. You may not sell any prohibited or restricted goods or services, including but not limited to: goods that infringe on intellectual property rights, hazardous materials, illegal drugs, and pornography.
3. You must provide clear and accurate descriptions of goods or services, including but not limited to: product name, specifications, price, images, and shipping information.
4. You may not post false, misleading, or deceptive information.
5. You must comply with the Platforms regulations regarding the listing of goods or services, including but not limited to image quality, title length, and description guidelines.

III. Transactions and Payments:

1. You agree to abide by the Platforms transaction process and payment policies.
2. You will process orders promptly and fulfill your sales obligations.
3. You are responsible for resolving any transaction disputes raised by buyers.
4. You agree to accept the payment methods offered by the Platform and pay the corresponding platform fees according to the Platforms specified percentage.
5. You shall bear all liability and losses arising from violations of the transaction rules.

IV. Intellectual Property:

1. You warrant that you possess the necessary intellectual property rights to all goods or services you sell on the Platform and that you have the right to sell those goods or services.
2. You may not sell any goods or services that infringe on the intellectual property rights of others.

V. Liability and Indemnification:

1. You are responsible for the information and actions you post on the Platform.
2. You agree to indemnify and hold TransactX and its affiliates, employees, and agents harmless from any losses, damages, claims, or expenses arising from your violation of these Terms or Platform rules.

VI. Modification of Terms:

TransactX reserves the right to modify these Terms of Service at any time.  Modified terms will be posted on the Platform, and you should review them periodically. Continued use of the Platform constitutes your acceptance of the modified terms.

VII. Governing Law and Jurisdiction:

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Californian. Any disputes relating to these Terms shall be submitted to the Superior Courts of Californian.
